Professional Experience

Joshua Dean is a partner in the Orange County office of Manatt, Phelps & Phillips, LLP.  Mr. Dean has extensive experience in mergers and acquisitions, including hostile takeovers and proxy contests; public offerings and private placements of equity and debt securities, representing issuers, underwriters and venture capital funds; recapitalizations and restructurings; tender offers; and general business law matters.  He also regularly advises clients on corporate governance requirements, SEC reporting and disclosure obligations, and regulatory and compliance matters.  His experience extends to business sectors including the banking and thrift industries, investment banking, private equity funds, specialty finance, and residential and commercial real estate development.  Mr. Dean performs services for a broad range of clients, from privately owned start-up companies to exchange-listed companies.
