- Represented developers and capital providers in the formation of joint ventures for the acquisition and development of housing and commercial properties.
- Represented partners in restructuring affordable housing transactions.
- Represented purchasers in acquiring low income housing tax credit properties after the expiration of the credit period.
- Represented lenders in the sale of distressed mortgage loan portfolios.
- Served as credit enhancer’s counsel in connection with the issuance and sale of variable, fixed and auction rate debt securities to finance multifamily housing projects.
- Assisted borrowers in obtaining secured and unsecured financings and in negotiating workouts.
- Represented low income housing tax credit investors in syndication of credits through guaranteed funds.
- Represented residential loan servicer in modifying its servicing agreements to enable it to obtain a credit facility to finance servicing advances.

Representative Matters
- Represented CityView in its acquisition of an interest in an affordable multifamily project in Paramount, California.
- Represented Avanath Capital Partners, LLC in its investment in affordable multifamily projects in Northern California, Virginia and Indiana.
- Represented a large developer in acquiring a vacant Bay Area office building with the goal of re-entitling for apartment use.
- Represented C-III Capital Partners in the disposition of its interests in a seniors multifamily project in Central California.
- Represented Fannie Mae in a $180 million bond credit enhancement deal to finance the Hollywood & Vine Project, a mixed-use development at the intersection of Hollywood and Vine that will include an affordable multifamily rental component, a retail portion, and a W Hotel.
- Represented Centerline Urban Capital, an investment fund with the California Public Employees Retirement System, in a $38.5 million joint venture with the Sares Regis Group to acquire a 241-unit apartment community in Denver, Colorado.
- Represented low income housing developer in negotiontions with a California redevelopment agency regarding the proper interpretation of an affordable housing covenant restricting rents at developer's property.
- Represented Fannie Mae in a permanent credit enhancement and structured financing deal valued at $155 million to refinance the Marc, a 393-unit, 452,000-square-foot residential building with an affordable housing component located in New York City and owned by The Moinian Group.
- Represented mall owner Macerich Co. in the sale of a 75% equity interest in one of its Denver area malls for $116 million.
- Represented Centerline Urban Capital in its $4.2 million equity investment, with Regal Development Group, Inc. as the developer, to acquire land in Fresno, California for construction of “Westwood Bluffs,” an 88-unit seniors multifamily project. Total capital for the deal was approximately $15.97 million.
- Represented property owner/developer in its operation of a mixed-use development on the Balboa Peninsula in Newport Beach. Advised on tenant default issues and negotiated leases with tenants.
- Represented principal in connection with the formation of new homebuilder in California.
- Represented Fannie Mae in connection with its $100,000,000 loan participation with Citibank in order to finance housing on the California State University Channel Islands campus.
