Sean Wee focuses his practice on representing the financial advisors to mergers and acquisitions and other corporate transactions. He has extensive experience advising large and midsize investment banks as well as boutique financial advisors in connection with a variety of M&A transactions, including public mergers, friendly and hostile tender offers, and private asset and stock purchases across a number of industries.
Sean leads the firm’s fairness opinion initiatives and has a particular focus on advising clients regarding the delivery of financial advisor fairness opinions and related matters. As a result of his efforts, Manatt has placed among the top law firms on Corporate Control Alert’s 2014, 2015, 2016, 2017 and 2018 rankings of “Banker Representations.”
Sean has significant experience with the delivery by financial advisors of solvency and other capital adequacy opinions in connection with leveraged transactions, stock repurchases, spin-offs and dividend distributions. He has also represented investment banks and issuers in corporate finance transactions, including IPOs, 144A offerings and debt tender and exchange offers.
