Brian S. Korn
Brian S. Korn is a Chambers-rated partner in Manatt’s New York office and leads the firm’s fintech and blockchain and cryptocurrency practices. His practice focuses on corporate finance transactions. Over the past five years, Brian has led initial public offerings (IPOs), early-stage and start-up venture financings, fund formations, private equity and high-yield debt financings. He also advises clients on SEC and broker-dealer/investment advisory compliance, corporate swap transactions, and blockchain tokenology. Brian regularly advises lenders and borrowers in warehouse lines of credit and asset-backed financings, focused on the fintech consumer and small business lending industries.
Brian has extensive experience representing issuers and underwriters in investment banking and capital markets transactions, including special purpose acquisition companies (SPACs), spin-offs, split-offs and carveout/tracking stock transactions. He also has extensive experience in sponsor-leveraged buyouts and bank/bond acquisition financing.

Some recent highlights of Brian’s experience include representing:
- Advantage Insurance, Inc. in its acquisition of fintech lender BasePoint Capital Group and an associated $250 million capital raise.
- Blockchain Finance (BlockFi) in connection with its $350 million capital raise.
- Centrifuge, Inc., an open, decentralized operating system aimed at connecting the global financial supply chain, with creating and structuring a blockchain syndicate investment company for both domestic and foreign investors.
- Idea Financial, Climb Credit, LendingUSA, Pier Asset Management and Covered Holdings with fintech credit facilities, totaling over $600 million.
- Percent Technologies, Inc. (f/k/a Cadence Group, Inc.) in numerous ongoing fintech platform launches that collectively have raised more than $300 million from investors, including the whole business securitization of public company FAT Brands, the Nasdaq-listed global franchising company and a leader in the casual dining industry.
- VOX Funding, an alternative finance company, in its $40 million credit facility with funds managed by affiliates of Fortress Investment Group.
Accomplishments
Brian is a frequent speaker on issues relating to fintech and blockchain at national and international conferences, including Lendit Fintech USA, China and Europe; AltFi Europe and London; and the New York City Bar Association.
