Danli Lan

Danli Lan is a Corporate and Finance associate in Manatt’s Washington, D.C., office. She advises public and private companies, financial institutions, investment banks and investors on capital markets transactions, mergers and acquisitions, corporate governance and other complex domestic and cross-border corporate matters.

Danli has substantial experience representing issuers and underwriters in initial public offerings, follow-on and other registered offerings, private placements, PIPE transactions and offerings of equity, debt and convertible securities. She also counsels public companies on Securities and Exchange Commission reporting and disclosure requirements, stock exchange listing standards, annual meeting and proxy matters, corporate governance, beneficial ownership and insider reporting, and other matters arising throughout the public-company lifecycle.

Her transactional practice includes public and private mergers and acquisitions, strategic investments, business combinations, joint ventures, asset and equity acquisitions, financing transactions and general corporate matters. Danli works with boards of directors and management teams on transaction approvals, governance policies and practices, securities issuances and other significant corporate actions. She also advises foreign issuers and international clients on cross-border transactions and access to the U.S. capital markets.

Before joining Manatt, Danli practiced at a boutique corporate and securities law firm, where she developed significant experience working on initial public offerings, including special purpose acquisition company IPOs.

While in law school, Danli served as a judicial intern to the Honorable John A. Gibney Jr. of the U.S. District Court for the Eastern District of Virginia.
