Manatt Advises Renown Health on Landmark Northern Nevada Joint Venture

A Manatt team, led by and , represented Renown Health (Renown), the largest locally owned, not-for-profit health care network serving northern Nevada and northeast California, and its affiliated health plan, Hometown Health, in a strategic joint venture that will introduce an integrated, value-based care and coverage model through which Kaiser Permanente (Kaiser) will enter Nevada. The transaction closed effective February 1, 2026.

Kaiser and Renown will jointly own and operate Renown’s health plan entities and certain value-based clinics, with Renown retaining a 49.9% stake, aiming to enhance value-based care capabilities and expand affordable, integrated care and coverage options for members. Renown Health will remain an independent, nonprofit health system serving the northern Nevada market. 

The Manatt team handled all aspects of the transaction, including structuring, strategy and negotiation, nonprofit membership substitution and exempt organization issues, joint venture governance, payor-provider contracting and integration, clinical care delivery organizational matters, regulatory analysis and approvals, and value-based care and coverage design. Through this highly innovative regional transaction, Renown and Kaiser are increasing access to high-quality health care services and affordable care and coverage options in Nevada.
