Manatt Represents Sharp HealthCare in Landmark 30-Year Affiliation with Tri-City Healthcare District

A Manatt team led by Partners Paul Carr-Rollitt, Jerry Tichner and Barry Landsberg represented Sharp HealthCare (Sharp) in its long-term affiliation with the Tri-City Healthcare District, under which Sharp acquired the assets of, and now leases and operates, the facility known as Sharp Tri-City Medical Center in Oceanside, California. The 30-year affiliation—approved by voters in Oceanside, Carlsbad and Vista with a 92.3% majority through Measure H on June 2—closed successfully on June 30, 2026, with Sharp assuming operations on July 1.

Manatt advised Sharp on all aspects of the transaction, including drafting and negotiating the definitive agreements, advising on regulatory issues, handling the transaction notification and review process through the California Office of Health Care Affordability, and supporting the public meeting and ballot measure process required under the California Health Care District laws. Following nearly a year of negotiations, a public election overwhelmingly supporting the transaction, and navigation through a variety of unique and last-minute issues, the team's work spanned real estate, government relations and election law, local district requirements, tax-exempt organization issues, debt considerations, litigation, environmental matters, and significant health-regulatory considerations.

This transaction represents a critical step forward in improving the health and welfare of North County residents and the broader San Diego community and further establishes Manatt's reputation as a go-to firm for large and complex health care system transactions.
